Public Offer for Clients

1. Terms

• Offer — this document.
• Operator / Offeror — IE Fazyalzyanov Bulat Ramilevich, OGRNIP 324169000228018, TIN 160904585516.
• Client — a person who accepted the Offer to receive matching / cooperation organization services and CRM access.
• Service — website https://outstack.ru, CRM https://app.toptalenty.ru, and related tools.
• Acceptance — full acceptance of the terms by registration, signing an agreement in the CRM, or clicking «I accept» for a new revision.

2. Subject matter

2.1. The Operator offers the Client specialist matching, cooperation organization, CRM access, and related support under this Offer and individual agreements.

2.2. Scope, timelines, cost, and format (one specialist, fixes, team) are agreed separately — in the request, agreement, or CRM.

2.3. The Offer is not an offer for third parties to provide services on their behalf: specialists are engaged under separate agreements.

3. Acceptance and agreement

3.1. Acceptance means conclusion of an adhesion agreement (Articles 428, 435, 438 of the Civil Code) regarding use of the Service.

3.2. For projects with material terms, the parties execute agreements (services, NDA) through the CRM. If there is a conflict, the signed agreement prevails; for CRM and general Service rules, the accepted Offer revision prevails.

3.3. Acceptance is recorded in the CRM with version, date, and where available — IP and User-Agent.

4. Rights and obligations

4.1. The Operator undertakes to

• provide access to the Service in the agreed format;
• process personal data under the Privacy Policy;
• notify of material Offer updates in the CRM.

4.2. The Client undertakes to

• use the Service lawfully and not transfer access to third parties;
• provide accurate information and authority to enter into agreements;
• comply with NDAs and agreements executed through the Service;
• keep project communication and statuses in the CRM.

5. Pricing

Cost, payment terms, and timelines — in an individual proposal, invoice, or agreement. The Operator is not obliged to start paid work before price is agreed.

6. Offer changes

6.1. The Operator may amend the Offer by publishing a new revision with a new version number.

6.2. The Client receives notice in the CRM and must accept the new revision. Without acceptance, workspace access is restricted.

6.3. Refusal of the new revision means cessation of Service use; obligations under already concluded agreements remain within their scope.

7. Confidentiality and personal data

Governed by the Privacy Policy and Personal Data Consent.

8. Materials, licenses, and liability

8.1. Materials provided by the Client (logos, text, photos, fonts, stock assets, etc.) are used at the Client's risk: the Client warrants necessary rights. Third-party claims regarding such materials are borne by the Client.

8.2. Commercial licenses for fonts and stock assets are usually purchased in the Client's name or billed separately per scope/invoice. Licensed assets used are listed at acceptance.

8.3. Specific Operator liability limits for a project — in the individual services agreement. The CRM Service is provided «as is» within reasonable availability efforts.

8.4. Disputes — under Russian law, subject to mandatory consumer protection rules (where applicable).
