Public Offer for Performers

1. Terms

• Offer — this document.
• Operator — IE Fazyalzyanov Bulat Ramilevich, OGRNIP 324169000228018, TIN 160904585516.
• Performer — a specialist / tech lead who passed vetting and accepted the Offer to work in the OutStack network.
• Service — CRM https://app.toptalenty.ru and related tools.
• Acceptance — accepting terms during onboarding, signing an agreement in the CRM, or explicit consent to a new revision in the workspace.

2. Subject matter

2.1. The Operator offers the Performer participation in a curated network: matching with clients, CRM access, and organizational support under this Offer and an individual agreement.

2.2. The default format is assignment to a client / project. Compensation, scope, and timelines — in a separate agreement and CRM tasks.

2.3. The Performer is not an employee of the Operator under an employment contract unless expressly agreed in writing.

3. Acceptance

3.1. Acceptance is an adhesion agreement (Articles 428, 435, 438 of the Civil Code) regarding network rules and Service use.

3.2. Terms for services to the client / Operator are fixed in the services agreement and NDA. If there is a conflict, the signed agreement prevails; for CRM and network rules, the accepted Offer revision prevails.

3.3. Version acceptance is stored in the CRM (date, version, session technical data where available).

4. Performer obligations

• perform agreed tasks with quality and on time;
• maintain statuses and communication in the CRM, not moving critical context to external chats without need;
• maintain confidentiality and NDA;
• use only licensed fonts and assets and document them at delivery;
• not share workspace access with third parties;
• report conflicts of interest and inability to perform a task.

5. Operator obligations

• provide CRM access within reasonable limits;
• inform about network rules and Offer updates;
• process personal data under the Privacy Policy.

6. Compensation

Amount, payment terms, and timelines are defined in the agreement and/or CRM tasks. The Offer alone does not set a specific rate. For self-employed tax status (NPD), the Performer provides a «My Tax» receipt for each payment.

7. Intellectual property and indemnity

7.1. The Performer warrants lawful use of fonts, stock, and other assets (except materials directly provided by the Operator or end client) and provides an asset list with license basis at delivery.

7.2. If third parties claim against the Operator or project client due to the Performer's breach of these warranties, the Performer indemnifies the Operator for documented losses (including claim amounts and reasonable legal costs) and remedies the breach — under the individual agreement.

7.3. Pirated or knowingly unlicensed fonts/assets are prohibited and may result in rejection of delivery and/or withholding from compensation within loss limits.

8. Offer changes

8.1. The Operator publishes a new revision with a new version number and notifies the Performer in the CRM.

8.2. Renewed acceptance is required to continue work. Without it, workspace access is restricted.

8.3. Refusal of the new revision means ending network participation under the Service; obligations under already concluded agreements remain within their scope.

9. Confidentiality and personal data

Privacy Policy, Personal Data Consent, NDA, and internal project rules.

10. Disputes

Under the laws of the Russian Federation, at the Operator's place of registration, unless mandatory rules provide otherwise.
